Terms of Service

Please read these Terms of Service carefully before registering or using the GigFreight platform. By creating an account or using any part of the platform, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the platform.

1. Acceptance of terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Hopline Transfers Inc. (trading as GigFreight), a company incorporated in the United States (File No. 7648553), with its registered office at 6411 19th Avenue, 2nd Floor, Brooklyn, New York 11204, United States (“GigFreight”, “we”, “us”, “our”) governing your access to and use of the GigFreight platform at gigfreight.com.

By clicking “Create Account”, using the platform or completing registration, you agree to these Terms. These Terms incorporate by reference our Privacy Policy, Cookies Policy and any additional guidelines we publish on the platform.

2. Description of service

GigFreight is a business-to-business (B2B) freight marketplace that provides technology enabling:

  • Freight brokers and shippers to post and manage loads
  • Carriers, fleet operators and dispatchers to discover and apply for loads
  • Communication and matching between brokers and carriers
  • Load lifecycle tracking from draft to delivery

GigFreight is a technology platform only. We are not a freight broker, carrier, shipper or logistics service provider. We are not party to any freight contract or transport agreement between users.

Coverage spans the European Union, United Kingdom, United States and Turkey. We do not operate in other markets at this time.

3. Eligibility

To use GigFreight, you must:

  • Be at least 18 years of age
  • Be operating a legally registered business entity in the EU or UK
  • Have authority to accept these Terms on behalf of your company
  • Not be prohibited from receiving services under applicable law
  • Have a valid, active email address

By registering, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify eligibility and to refuse registration at our sole discretion.

4. Account registration

When you register, you agree to:

  • Provide accurate, current and complete registration information
  • Keep your account credentials confidential and not share them with any third party
  • Notify us immediately at support@gigfreight.com of any suspected unauthorised access
  • Maintain only one account per person or company
  • Keep your account information up to date

You are responsible for all activity that occurs under your account. GigFreight will not be liable for any loss resulting from unauthorised use of your account where you have failed to maintain adequate credential security.

Email verification is required to activate your account. You must confirm your email address before you can access the platform.

5. Subscriptions and billing

Access to the platform (beyond the free trial) requires an active paid subscription:

Standard Plan — €49/month (excl. VAT)

Full access to the standard load board, broker and dispatcher tools, notifications, company management.

Elite Plan — €99/month (excl. VAT)

Everything in Standard plus: Elite-only loads, verified badge, API access, priority support.

Subscriptions are billed monthly and renew automatically. You authorise us to charge your payment method on each renewal date. Billing is processed by Stripe. You may manage your subscription (including cancellation and payment method updates) through the Stripe billing portal accessible from your account settings.

We reserve the right to change pricing with 30 days’ written notice by email. Price changes take effect at your next renewal after the notice period.

VAT will be applied at the rate applicable in your country of registration. EU business customers with a valid VAT number may use the reverse charge mechanism.

6. Free trial

New accounts receive a 3-day free trial on the Standard or Elite plan. A valid payment method is required at checkout to start the trial. After 3 days, the selected plan is charged automatically unless cancelled before the trial ends.

  • The trial provides full access to the selected plan features
  • One free trial per person and per company
  • We reserve the right to modify or terminate the trial offering at any time

7. Acceptable use

You agree not to use the platform to:

  • Post false, misleading, duplicate or fraudulent load information
  • Misrepresent your company, fleet capacity, qualifications or insurance status
  • Spam, harass, threaten or abuse other users
  • Attempt to circumvent subscription restrictions or access features not included in your plan
  • Scrape, copy or redistribute platform data without prior written consent
  • Reverse-engineer the platform or attempt to access source code
  • Use automated tools to submit fake interest requests or flood the system
  • Share your login credentials with third parties
  • Use the platform for any purpose prohibited by EU or UK law
  • Impersonate any person or entity

Violation of these restrictions may result in immediate account suspension or termination without notice, at our sole discretion.

8. Load transactions and liability

GigFreight is a marketplace only. Any freight contract is formed exclusively between the broker/shipper and the carrier. We are not party to any such agreement and accept no responsibility for:

  • The accuracy, completeness or legality of load information posted by brokers
  • The qualifications, licences, insurance or compliance of carriers
  • Payment disputes between brokers and carriers
  • Cargo loss, damage, delay or non-performance
  • Customs or cross-border regulatory compliance
  • Any disputes arising from a freight transaction

Users are responsible for conducting their own due diligence before entering any freight agreement. We recommend verifying carrier insurance, CMR liability, operating licences and VAT registration independently.

9. Content standards

All content you post on GigFreight must be:

  • Accurate and truthful — load details must reflect actual freight requirements
  • Relevant to EU and UK road freight logistics
  • In English (other languages may be accepted in future updates)
  • Free from offensive, discriminatory or harassing material
  • Compliant with applicable advertising standards

We reserve the right to remove, edit or decline any content that violates these standards or that we deem inappropriate, at our sole discretion, without prior notice.

10. API usage (Elite subscribers)

Elite subscribers may generate API keys and use the GigFreight REST API (v1) to access load data programmatically. API usage is subject to these additional terms:

  • Maximum 5 API keys per account
  • Rate limiting applies — excessive requests may be throttled or blocked
  • API data may not be resold, redistributed or used to train AI/ML models without written consent
  • You are responsible for securing your API keys — treat them as passwords
  • We may revoke API access for abuse without notice

11. Intellectual property

The GigFreight platform, including its design, software, algorithms, trademarks and all content produced by us, is the exclusive intellectual property of GigFreight and is protected by EU and UK intellectual property law.

We grant you a limited, non-exclusive, non-transferable licence to access and use the platform for its intended business purpose only. This licence does not include the right to copy, modify, distribute or create derivative works of any platform content or technology.

You retain ownership of content you upload (e.g. load descriptions, company information). By posting content, you grant us a worldwide, royalty-free licence to store, display and process it for the purpose of providing the platform services.

12. Disclaimers

The platform is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement.

We do not warrant that:

  • The platform will be uninterrupted, error-free or free of viruses
  • Search results will be complete or accurate at any given time
  • Load information posted by brokers is correct
  • The platform will be available in all jurisdictions

13. Limitation of liability

To the maximum extent permitted by applicable EU and UK law, GigFreight’s total liability for any claims arising from your use of the platform — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the total subscription fees you paid in the 3 months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, punitive or special damages, including but not limited to loss of profits, revenue, data, business or goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

14. Termination

By you: You may cancel your subscription and close your account at any time from the account settings. Access continues until the end of your current billing period. Account data is retained per our Privacy Policy retention schedule.

By us: We may suspend or permanently terminate your account immediately and without prior notice if you breach these Terms, engage in fraudulent activity, or for any other reason at our reasonable discretion. Where termination is for breach, no refund will be issued.

Upon termination, your licence to use the platform ceases immediately. Sections that by their nature should survive termination (including Sections 8, 11, 12 and 13) will remain in effect.

15. Governing law and disputes

These Terms are governed by the laws of the European Union, supplemented by applicable national law. For users in the United Kingdom, these Terms are governed by the laws of England and Wales.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes may be referred to mediation or the courts of competent jurisdiction.

EU users may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Changes to these terms

We may update these Terms at any time to reflect changes in the law, platform features or business practices. We will give you 14 days’ notice of material changes via email. Continued use of the platform after the notice period constitutes acceptance of the updated Terms.

For minor, non-material changes (e.g. corrections, clarifications), the updated Terms will take effect immediately upon publication.
